1. PARTIES

This Distance Sales Agreement (“Agreement”) has been electronically executed between the Seller and the Buyer whose details are provided below. The Parties acknowledge, declare, and undertake that they have read and understood the entire Agreement and approve all its provisions.

2. FORMATION OF THE AGREEMENT

• The BUYER acknowledges that they have READ, UNDERSTOOD, and are AWARE of their RIGHTS and OBLIGATIONS under this AGREEMENT.
• The PARTIES agree that there is NO DISPROPORTION between the obligations set forth in the AGREEMENT and that the reciprocal obligations are appropriate to the nature of the transaction. They further confirm that they have NO LACK OF EXPERIENCE regarding the transactions covered under the AGREEMENT.
• The BUYER declares that they have reached a complete opinion that the transactions within the scope of the AGREEMENT are in their best interest and that they will voluntarily, knowingly, and willingly comply with all terms without any difficulty or hardship.
• The PARTIES acknowledge that the AGREEMENT does not include any unfair provisions and that there is no unfairness in terms of the balance of interests.
• The terms of this AGREEMENT comply with the Regulation on Unfair Terms in Consumer Contracts and do not contain any unfair clauses. The provisions have been prepared in accordance with consumer protection legislation.
• This AGREEMENT has been drafted in consideration of the provisions of the Turkish Code of Obligations. The BUYER has reviewed the binding and content control provisions set forth in Article 21 of the Turkish Code of Obligations. None of the provisions of this AGREEMENT contain misleading clauses unrelated to its nature and scope. The provisions are clearly and understandably written, with no ambiguity.

3. SUBJECT AND SCOPE OF THE AGREEMENT

The subject of this Agreement is to determine the rights and obligations of the parties regarding the sale and delivery of the product specified below, which the Buyer has ordered electronically through the website www.hamfabrics.com (the “Site”), in accordance with Law No. 6502 on Consumer Protection and the Regulation on Distance Contracts.

• The total product price mentioned above is collected from the Buyer by Selin Çalışkan Modaevi (Ham Fabrics).

6. DELIVERY

• The product(s) covered by the Agreement shall be delivered to the Buyer or the person/institution designated by the Buyer within 30 (thirty) days at the latest, depending on the delivery distance, provided that the Seller has received the order.
• The delivery of the product(s) under this Agreement is contingent upon the electronic confirmation of this Agreement and the Pre-Information Form by the Buyer, as well as the full payment of the product price. If the product price is not paid, is partially paid, or the payment is canceled in the bank records for any reason, the Seller shall be relieved of the delivery obligation.
• If fulfilling the Buyer’s order becomes impossible, the Seller shall notify the Buyer in writing or via a permanent data provider within 3 (three) days from the date the Seller becomes aware of the situation and shall refund the Buyer all payments, including delivery costs (if any), within 14 (fourteen) days from the date of notification.

7. BUYER’S DECLARATIONS AND COMMITMENTS

• The Buyer acknowledges that they have read and understood the basic characteristics of the goods or services subject to the Agreement, the sales price, payment method, delivery conditions, and shipping costs on the Site, and that they have electronically confirmed this information.
• By confirming the Pre-Information Form and this Agreement electronically, the Buyer acknowledges that they have obtained accurate and complete information regarding the Seller’s address, the essential characteristics of the ordered product/service, the total price (including taxes), and payment and delivery details.
• If the Buyer’s credit card is used fraudulently by unauthorized persons after the product is delivered, and the relevant bank or financial institution does not pay the product price to the Seller, the Buyer shall return the delivered product within 3 (three) days at their own expense.
• If the product is to be delivered to a third party other than the Buyer, the Seller shall not be liable for the third party’s refusal to accept the delivery.

8. RIGHT OF WITHDRAWAL

• The Buyer may exercise the right of withdrawal without providing any justification and without incurring any penalties within 14 (fourteen) days from the date of delivery for goods or from the date of contract formation for services.
• The Buyer may exercise the right of withdrawal by filling out the withdrawal form provided with the order or by submitting a clear statement to the Seller indicating their withdrawal decision. This statement must be sent in writing or via a permanent data provider before the withdrawal period expires.
• The Seller will refund all payments, including shipping costs (if any), within 14 (fourteen) days from the date the withdrawal notification is received, using the same payment method used by the Buyer.

9. DISPUTE RESOLUTION

In case of disputes, the Buyer may apply to the Consumer Arbitration Committees or Consumer Courts within the monetary limits set annually by the Ministry of Trade.

10. ENFORCEMENT

This Agreement has been executed and entered into force upon electronic approval by the Buyer. The Agreement will be stored electronically by the Seller for 3 (three) years and can be accessed by the Buyer upon request via [email protected].
